Terms of Service

This Terms of Service Agreement (the “Agreement”) is made and entered into between Foresyte, Inc. (“Foresyte Travel,” “we,” “our,” or “us”) and you (“User,” “you,” or “your”). This Agreement governs your access to and use of the Foresyte Travel digital travel encyclopedia available at foresyteapp.com (the “Website”), including its editorial articles, destination information, photographs, data, and other content, as well as the Foresyte Travel mobile application (the “App”) and related features and content (collectively, the “Services”).

The Website is Foresyte Travel's primary editorial platform and provides a digital travel encyclopedia designed to help users research destinations, accommodations, points of interest, restaurants, venues, attractions and neighborhoods. The App provides an ancillary mobile experience through which users may access Foresyte Travel content and use itinerary-planning and trip-coordination features.

By accessing or using the Website, creating an account, downloading or using the App, or otherwise accessing the Services, you acknowledge that you have read, understand, and agree to be bound by this Agreement and Foresyte Travel's Privacy Policy. If you do not agree to this Agreement, you must not access or use the Services.

In this Agreement, “you” refers to a user of the Services who is legally capable of entering into a binding agreement under the laws applicable to that user. If you authorize a minor to access or use the Services, you are responsible for that minor's use of the Services in accordance with this Agreement.

Changes to terms.

Foresyte Travel may update this Agreement from time to time. Material changes will be reflected by updating the date above and, where appropriate, providing additional notice. Your continued use of the Services after an updated Agreement becomes effective constitutes acceptance of the revised terms. If you do not agree to the revised terms, you must stop using the Services.

Description of services.

Application.

Foresyte Travel is a travel app where users can discover immersive travel stories and intuitively plan itineraries.

Eligibility.

To  use the App,  you  must  have  the  requisite power  and  authority  to  enter  into  this  Agreement and  meet  any  other  applicable  age  and  residency requirements.  The  App  is not  intended  for  and  should  not  be  used  by  anyone  under  the  age  of thirteen (13), and only with consent from a parent or legal guardian of a minor.

Use & availability of the app.

Use of the App is at your own risk, including without limitation the risk that you might be exposed to content that is offensive, indecent, inaccurate, or objectionable. While Foresyte Travel uses reasonable efforts to keep the App accessible, the App may be unavailable from time to time.  User understands and agrees that there may be interruptions to the App and/or access to User's account due to circumstances both within Foresyte Travel's control (e.g., routine maintenance) and outside of Foresyte Travel's control. The App may be modified, updated, suspended and/or discontinued at any time.

Creating an account.

You must create an account to use the App. You agree to provide accurate and current account information and to maintain the confidentiality of your login credentials. You are responsible for activity conducted through your account and must promptly notify Foresyte Travel of any unauthorized access or use. Foresyte Travel may suspend or terminate accounts that violate this Agreement.

Maintenance & modification.

Foresyte Travel will make available to the User updates, patches and bug fixes with respect to the App as may, from time to time, be developed and made generally available by Foresyte Travel to its Users.  Foresyte Travel reserves the right to modify and/or discontinue, temporarily and/or permanently, the App and/or any features or portions thereof. You agree that Foresyte Travel will not be liable for any modification, suspension and/or discontinuance of the App or any part thereof.

User responsibilities.

Foresyte Travel grants you the rights set forth herein, subject to the following conditions:​

  • You shall not modify, disassemble, create derivative works, publicly display, reverse engineer and/or otherwise reduce to human-perceivable form all or any part of the App and/or App Content;
  • You may not access all or any part of the App and/or App Content in order to build a product or service which competes with the App;
  • You shall not copy, store, reproduce, duplicate, transmit or distribute a significant portion of the content on the App;
  • You shall not obtain or attempt to obtain any data through any means from the App, except if Foresyte intends to provide and/or make it available to you;
  • You shall not pretend to be someone else, use someone else's character or misrepresent your affiliation with a person or entity;
  • You shall not copy or imitate part or all of the design, layout, and/or look-and-feel of the App, App Content and/or individual sections of it, in any form or media;
  • You are only authorized to view, use, copy for your records and download small portions of the content on the App for your informational, non-commercial use; provided that you leave all copyright and other proprietary notices intact;
  • You are responsible for the accuracy and quality of the data and content that you submit;
  • You agree to act in accordance with all applicable laws, rules and regulations;
  • You agree not to intentionally hold Foresyte Travel and/or its employees and/or directors up to public scorn, ridicule or defamation;
  • You will not promote and/or provide information about illegal activities and/or physical harm and/or injury to any group, individual, institution and/or property;
  • You will use commercially reasonable efforts to prevent unauthorized access to and/or use of the App and content provided on the App, and to notify Foresyte Travel promptly of any such unauthorized access and/or use;
  • You shall not use the App for any unlawful purpose and/or to violate any federal, state, international law, code of conduct and/or other guidelines which may be applicable to the App provided; and

​​You acknowledge that a breach of any of the foregoing terms and conditions and/or any other terms and conditions related to Foresyte Travel's intellectual property may result in irreparable and continuing damage to Foresyte Travel for which monetary damages may not be sufficient, and agree that Foresyte Travel will be entitled to seek, in addition to its other rights and remedies hereunder or at law, injunctive or all other equitable relief, and such further relief as may be proper from a court of competent jurisdiction. The terms of this Section shall survive the expiration or termination of this Agreement.  In addition, Foresyte Travel shall not be subject to any obligations of confidentiality regarding any information or materials provided by you unless required by law or otherwise set forth in our Privacy Policy. The commercial use, reproduction, transmission or distribution of any information, software or other material available through the App without the prior written consent of Foresyte Travel is strictly prohibited.

Acceptable use.

You may use the Services only for lawful purposes and in accordance with this Agreement. You may not interfere with the operation or security of the Services, gain unauthorized access to the Services or related systems, impersonate another person or entity, misuse Foresyte Travel's intellectual property, or use the Services in a manner that violates applicable law or the rights of others.

Use outside defined area.

The Services are operated from the United States. If you access the Services from another jurisdiction, you are responsible for compliance with applicable local laws. Where applicable, information collected through the App may be transferred to and processed in the United States as described in our Privacy Policy.

Errors, inaccuracies, omissions & performance.

The Services may contain errors, inaccuracies or omissions. Foresyte Travel may correct or update content or other information at any time without notice, except where notice is required by law.

Proprietary rights & licenses.

The Services and their content, including text, photographs, graphics, design, trademarks and other materials, are owned by or licensed to Foresyte Travel and are protected by applicable intellectual property laws. Foresyte Travel grants you a limited, nonexclusive, nontransferable and revocable right to access and use the Services for personal, noncommercial purposes in accordance with this Agreement. No other rights are granted.

No unlawful or prohibited use.

As a condition of your use of the App, you warrant to Foresyte Travel that you will not use the App or App Content for any purpose that is unlawful or prohibited by these terms, conditions, and notices. User may not use the App and/or App Content in any manner that could damage, disable, overburden, and/or impair the App and/or interfere with any other party's use and/or enjoyment of the App. User may not obtain and/or attempt to obtain any materials and/or information through any means not intentionally made available and/or provided for through the App.

Termination.

Foresyte Travel may suspend or terminate your access to the Services or your account if you violate this Agreement or applicable law, misuse the Services, or engage in conduct that threatens the security or operation of the Services or the rights of Foresyte Travel or others. Upon termination, your right to use the affected Services ends. Provisions that by their nature should survive termination will remain in effect.

Indemnification & waiver.

To the maximum extent permitted by applicable law, you agree to indemnify, defend and hold harmless Foresyte Travel and its officers, directors, employees, agents and affiliates from and against claims, liabilities, damages, losses and expenses arising from your violation of this Agreement, your violation of applicable law, or your infringement of the rights of a third party.

Disclaimer of warranties.

To the maximum extent permitted by applicable law, the Services and all content made available through them are provided “as is” and “as available.” Foresyte Travel disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and noninfringement. Foresyte Travel does not warrant that the Services will be uninterrupted, error-free, secure or free from harmful components, or that information made available through the Services will always be accurate or complete.

Limitation of liability.

To the maximum extent permitted by applicable law, Foresyte Travel and its officers, directors, employees, agents and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages arising from or related to your use of, or inability to use, the Services. Foresyte Travel's total liability for any claim arising from or related to the Services or this Agreement will not exceed $100. Some jurisdictions do not allow certain limitations or exclusions of liability, so these limitations may not apply to you to the extent prohibited by applicable law.

Third-party services.

The Services may contain links to or integrate with third-party websites, applications, services or content, including app stores. Foresyte Travel does not control or assume responsibility for third-party services, content, availability or practices. Your use of third-party services is subject to the applicable third party's terms and policies.

DMCA copyright policy & copyright agent.

Foresyte Travel respects the intellectual property rights of others and expects you to do the same. Foresyte Travel reserves the right to: (a) terminate your User Account or any other user who infringes third-party copyrights, (b) block access to and/or remove material that Foresyte Travel believes in good faith to be copyrighted material that has been illegally distributed by you and/or other third parties, and/or (c) remove and discontinue service to repeat offenders.  Foresyte Travel will respond to clear notices of copyright infringement when you provide the following: 

  • A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is infringed;
  • Identification of the copyrighted work claimed to have been infringed;
  • Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled;
  • Information sufficient to permit Foresyte Travel to contact you, such as your physical address, telephone number, and, if available, an electronic mail address;
  • A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
  • A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is infringed.


Contact information for Foresyte Travel's DMCA Agent for notice of claims of copyright infringement is Foresyte, Inc., Attn: Copyright Agent, 3021 N Southport Ave, Unit 4A, Chicago, IL 60657.  The Copyright Agent will not remove content from the App in response to phone or email notifications regarding infringing content, since a valid DMCA notice must be signed, under penalty of perjury, by the copyright owner or by a person authorized to act on his or her behalf. Please submit such notifications by ordinary mail only and as further described by this section. The Copyright Agent should be contacted only if you believe that your work has been used or copied in a way that constitutes copyright infringement and that such infringement is occurring on the App or linked to and/or from the App. All other inquiries directed to the Copyright Agent will not be responded to.

Dispute resolution.

This Agreement is governed by the laws of the State of Illinois. Any dispute arising from or relating to this Agreement or the Services that cannot be resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable rules, except that either party may bring an eligible claim in small claims court. Arbitration will be conducted on an individual basis, and neither party may pursue claims through a class, consolidated or representative action to the extent permitted by applicable law. If a dispute is not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Cook County, Illinois.

Miscellaneous.

This Agreement and the Privacy Policy constitute the entire agreement between you and Foresyte Travel concerning the Services. This Agreement is governed by the laws of the State of Illinois. If any provision is held unenforceable, the remaining provisions will remain in effect. Foresyte Travel's failure to enforce any provision does not waive its right to do so later. You may not assign this Agreement without Foresyte Travel's consent, and Foresyte Travel may assign this Agreement as permitted by law.
